Merchant Tier Commercial Licence Terms

Limited to 10 Merchants

As a Merchant, you must purchase from our website each digital model file that you wish to use for producing and selling physical 3D-printed products.

Your Merchant subscription does not provide automatic access to our complete digital catalogue. However, while your subscription remains active, we will supply eight to 10 digital files free of charge each month.

We have also included STL files as a welcome in your licence

1. Merchant Membership

By subscribing to the Merchant Tier, you agree to these Commercial Licence Terms.

While your subscription remains active, you are granted a limited, non-exclusive, non-transferable and revocable licence to manufacture and sell physical 3D-printed products made from selected digital models supplied through the Merchant Tier.

All intellectual property rights in the designs and digital files remain the property of their respective owner. No ownership of any design, copyright or digital file is transferred to you.

2. Licence Grant

Subject to continued payment of the applicable subscription fee and compliance with these Terms, you may:

• Download and retain the selected STL files made available during your active membership;
• Produce physical 3D-printed versions of the selected models;
• Advertise and sell those physical prints through your declared sales platforms; and
• Display the “Authorized Dealer – Scale Model Figures” badge while your Merchant subscription remains active.

This licence is granted to one named individual or legally registered business entity only.

3. Licence Period

Your commercial licence is valid only while your Merchant subscription remains active and fully paid.

If your subscription expires, is cancelled or is terminated, your commercial selling rights end immediately. You must stop manufacturing, advertising and selling physical prints made from the licensed models and remove the Authorized Dealer badge from your shops and sales platforms.

You may retain the digital files for personal, non-commercial use unless you are instructed to delete them following a licence breach.

4. Attribution Requirements

All online listings and advertisements for products produced under this licence must clearly credit:

“Designed by Scale Model Figures.”

You must also display the official:

“Authorized Dealer – Scale Model Figures”

badge prominently within your online shop, website or other approved sales platform while your licence remains active.

The badge must not be altered or displayed after your Merchant licence has ended.

5. Sales Platform Notification

You must provide us with the full website address or profile URL of every platform on which you intend to advertise or sell licensed prints.

You must notify us promptly of any new, changed or additional selling platforms. Sales through undeclared platforms may be treated as a breach of this licence.

6. Prohibited Uses

You must not:

• Sell, share, upload, exchange, sublicense, gift or otherwise distribute any STL file or other digital model file;
• Sell modified, converted or remixed versions of the digital files;
• transfer or sublicense your Merchant licence to another person or business;
• Allow another person or business to manufacture products under your licence;
• Use the models for mould-making, resin casting, metal casting, injection moulding or any other mass-production process;
• Use the files or models in connection with crowdfunding campaigns without prior written permission;
• Include the files in digital bundles, downloads, software, games, virtual products, NFTs or other digitally distributed products;
• Claim authorship, ownership or exclusive rights over the designs;
• Register any design, trademark or other intellectual property right incorporating the models;
• Remove, obscure or alter any copyright, ownership or identification information supplied with the files; or
• Use the models for any unlawful, misleading or unauthorised purpose.

7. Selected and Excluded Models

This licence applies only to models specifically identified as being included in the Merchant Tier.

Not every model sold, displayed or released by Scale Model Figures or is included. Excluded products may include:

• Scanned figures or scanned assets;
• Third-party licensed content;
• Commissioned or exclusive designs;
• Branded, copyrighted or trademarked subjects;
• Models supplied under separate licence terms; and
• Any model expressly marked as excluded from commercial use.

Where a model’s individual licence terms conflict with these Merchant Terms, the individual licence terms will take precedence.

8. Licence Compliance

We may request reasonable information to confirm that your physical products, listings and sales platforms comply with these Terms.

The licence may be suspended or revoked immediately if you:

• Share, sell or distribute digital files;
• Continue selling after your subscription has ended;
• Use undeclared selling accounts or platforms;
• Fail to provide the required attribution;
• Misuse the Authorized Dealer badge;
• Breach another material provision of these Terms; or
• Engage in conduct that infringes our intellectual property rights.

Revocation of the licence does not entitle you to a refund of subscription fees already paid.

9. Subscription Pricing

Merchant Tier subscription prices may be changed by giving at least 30 days’ notice.

If you do not accept a price change, you may cancel your subscription before the new price takes effect. Continued membership after the effective date will constitute acceptance of the revised price.

10. No Exclusivity

The Merchant licence does not provide exclusive rights to any model, product category, sales platform or geographical area. We may license the same designs to other merchants and may sell physical or digital versions of the models directly.

11. Acceptance

By subscribing to the Merchant Tier, downloading Merchant files or selling physical prints made from them, you confirm that you have read, understood and agreed to these Terms.

Failure to comply may result in immediate termination of your commercial licence and, where appropriate, further action to protect the relevant intellectual property rights.
